1.2 Savewyze; is a registered brand of Savewyze Limited, a company duly registered under the laws of the Federal Republic of Nigeria;
1.4 Savewyze reserves the right to review and change any of the Terms by updating this page at its sole discretion at any time. Any changes to the Terms will take effect immediately from the date of their publication. Your access and use of the Software/website after Savewyze makes any changes constitute your acceptance of any such changes and you will be bound by those changes. If you do not agree to any changes, you must cease usage of the Software and any of its associated products or Services immediately.
2. INTELLECTUAL PROPERTY RIGHTS
2.1 Unless otherwise stated, we and our licensors own, retain all right, title, and interest in and to the Services and any associated patents, trademarks, copyrights, mask work rights, trade secrets, and other intellectual property rights.
2.2 For the avoidance of doubt, Savewyze does not grant you any licenses, express or implied, to our intellectual property or the intellectual property of our licensors, except as expressly stated in these Terms.
3.1 Except as expressly provided by these Terms or with our prior written consent, you shall not (a) use, modify, disassemble, decompile, reverse engineer, reproduce, distribute, rent, sell, license, publish, display, download, transmit, or otherwise exploit any content on our Website in any form by any means; (b) scrape or copy information through any means including crawlers, browser plugins and add-ons, and any other technology or manual work; (c) utilize any device, software, or routine that will interfere or attempt to interfere with the functionality of the Services; (d) use any portion of the Services to provide, or incorporate any portion of the Services into, any product or service provided to a third party; (e) reverse engineer, decompile, disassemble, or otherwise seek to obtain the source code of the Services; (f) remove or obscure any proprietary or other notices contained in the Services; (g) use the Services in any way that is illegal, harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable, as we may determine in our sole discretion; (h) attempt, in any manner, to obtain the username, password, account, or other security information from any other user of the Services; (i) violate the security of any computer network or crack any passwords or security encryption codes; or (j) run any form of auto-responder or "spam," or any processes that run or are activated while you are not logged in to access the Services.
3.2 Any content, information or data uploaded by a User must not be illegal, threatening, obscene, racist, defamatory, libellous, pornographic, infringing of intellectual property rights, promoting of illegal activity or harm to groups and/or individuals, invasive of privacy, purposely false or otherwise injurious to third parties, or objectionable and must not consist of or contain software, computer viruses, commercial solicitation, political campaigning, chain letters, mass mailings, or any form of spam.
4. USER OBLIGATIONS
4.1.2 You must be a Nigerian citizen or a legal Nigerian resident and have a bank account with a Nigerian financial institution.
4.1.3 You must provide all information requested by us, including but not limited to your name, email address, home address, mobile device number, bank verification number (BVN), online credentials for your bank account, and such other information as we may request from time to time (collectively referred to as “User Information”).
4.2.1 In order to access certain features of our Services, you must register on our App/Website to create a Savewyze Account. When you register, you will be asked to choose a password, which you will be required to use to access your Savewyze Account. You are responsible for safeguarding your password and other Savewyze Account information. You agree not to disclose your password to any third party and you will notify Savewyze immediately if your password is lost or stolen or if you suspect any unauthorized use of your Savewyze Account. As a User, you agree that you shall be solely responsible for any activities or actions under your Savewyze Account, whether or not you have authorized such activities or actions.
4.2.2 You represent and warrant that all User Information you provide us from time to time is truthful, accurate, current, and complete, and you agree not to misrepresent your identity or your User Information. You agree to promptly notify us of changes to your User Information by updating your Savewyze Account on the Website/App; provided, however, that you must notify us at least 3 (three) working days after any changes to your bank account information, including, but not limited to, the closure of your bank account for any reason by emailing xxx@Savewyze.com or by updating your Savewyze Account via the Website or mobile application. If we approve your registration, you will be authorized to use the Services, subject to these Terms.
4.2.3 You may only use the Services for your own personal, non-commercial use and not on behalf of or for the benefit of any third party. Your use of the Services must comply with all applicable laws. If your use of the Services is prohibited by applicable law, then you are not authorized to use the Services. We shall not be responsible if you use the Services in any manner that violates any applicable laws. Savewyze reserves the right to immediately terminate your account if found to violate any laws]
4.3.1 For our compliance purposes and in order to provide the Services, you hereby authorize us to, directly or through a third-party, obtain, verify, and file information and documentation that helps us verify your identity and bank account information. When you register for the Services and from time to time thereafter, we may require you to provide and/or confirm information and documentation that will allow us to identify you, such as:
- a) Full name (as contained on a government issued Identity Card)
- b) Contact or Residential address.
- c) Email address and phone Number
- d) Bank account details
- e) A copy of Your Government issued Identity card
- f) Bank Verification Number.
- g) A copy of a utility bill, bank statement, affidavit, or other bill, dated within 2 (two) months of our request, with your name and residential or work address on it; and
- h) Such other information and documentation that we may require from time to time.
4.3.2 By using the Services and providing User Information to us, you automatically authorize us to obtain, directly or indirectly through our third-party service providers and without any time limit or the requirement to pay any fees, information about you and your bank accounts from any financial institution holding your bank account and other third-party websites and databases as necessary to provide the Services to you. For purposes of such authorization, you hereby grant Savewyze and our third-party service providers a limited power of attorney, and you hereby appoint Savewyze and our third-party service providers as your true and lawful attorney-in-fact and agent, with full power of substitution and resubstitution, for you and in your name, place, and stead, in any and all capacities, to access third-party websites, servers, and documents; retrieve information; and use your User Information, all as described above, with the full power and authority to do and perform each and every act and thing requisite and necessary to be done in connection with such activities, as fully to all intents and purposes as you might or could do in person. YOU ACKNOWLEDGE AND AGREE THAT WHEN Savewyze OR OUR THIRD-PARTY SERVICE PROVIDERS ACCESS AND RETRIEVE INFORMATION FROM SUCH THIRD-PARTY WEBSITES, Savewyze AND OUR THIRD-PARTY SERVICE PROVIDERS ARE ACTING AS YOUR AGENT, AND NOT THE AGENT OR ON BEHALF OF THE THIRD PARTY. You agree that other third parties shall be entitled to rely on the foregoing authorization, agency, and power of attorney granted by you. We make no effort to review information obtained from the financial institution holding your bank account and other third-party websites and databases for any purpose, including, but not limited to, accuracy, legality, or non-infringement. As between Savewyze and our third-party service providers, Savewyze owns your confidential User Information.
4.4 Service Communications
4.4.1 By creating a Savewyze Account, you automatically sign up for various types of alerts via e-mail and mobile notifications. To the extent permitted by applicable law, you consent to use electronic signatures and to electronically receive all records, notices, statements, communications, and other items for all Services provided to you under these Terms and in connection with your relationship with us (collectively referred to as “Communications”). Anyone with access to your e-mail or mobile device will be able to view these alerts. By accepting and agreeing to these Terms electronically, you represent that: (a) you have read and understand this consent to use electronic signatures and to receive Communications electronically; and (b) your consent will remain in effect until you withdraw your consent as specified below.
4.4.2 Your consent to receive electronic communications will remain in effect until you withdraw it. You may withdraw your consent to receive further communications at any time by contacting us at contact@Savewyze.com. If you withdraw your consent to receive communications electronically, we will close your Savewyze Account and you will no longer be able to use your Savewyze Account or the Services, except as expressly provided in these Terms. Any withdrawal of your consent to receive communications electronically will be effective only after we have a reasonable period of time to process your withdrawal from your Savewyze Savings Account or after payment of all monies due on your Savewyze Credit Account. Please note that withdrawal of your consent to receive communications electronically will not apply to communications electronically provided by us to you before the withdrawal of your consent becomes effective.
4.4.3 In order to ensure that we are able to provide Communications to you electronically, you must notify us of any change in your email address and your mobile device number by updating your Savewyze Account on the Website.
4.5 Repayment of credit
4.5.1 You agree and warrant that you shall repay all monies due under your Savewyze Credit Account as and when due. In the event of a default, we reserve the right to suspend your use of our Services and apply any monies in your Savewyze Wallet Account (where applicable) or your bank account to defray your outstanding credit. This is without prejudice to our right to recover debts and seek compensatory damages as permitted under applicable law should the need arise.
4.5.2 Furthermore, You hereby expressly agree that if any sum shall be due from you to Savewyze at any time, or you are liable to Savewyze in anyway, or if default is made by you in repayment, you hereby authorize Savewyze and give it the right to directly or through its Partner bank to set off the outstanding amount by making deductions from any of the your accounts domiciled with any commercial or Microfinance bank in Nigeria or any such account linked to you via BVN, whether the account is in Naira or other currency, regardless of whether such accounts banks are linked with your Savewyze account in line with Central Bank of Nigeria policy on loan settlements.
5. Use Of Our Web/Mobile Application
5.1. You acknowledge and understand that part of the facility provided by Savewyze on its platform is an unsecured loan granted subject to the Terms and Conditions of this Agreement and repayable on demand by Savewyze.
5.2. The use of Savewyze applications is primarily confined to Nigeria and residents of Nigeria, Savewyze may at its discretion elect to provide international usage services, but its major aim is for Nigeria.
5.3. The Primary denomination for all transactions shall be in the Nigerian Naira currency, such services or payments for international transactions may only be accessed by you, where available, by opting for it under their personal setting, and agree to be bound by such conditions or terms set by Savewyze and its Partners.
5.4. Savewyze shall also provide you with a wallet on its platform through which you can make online payments, pay bills, transfer to third parties, and also save your funds. Savewyze may also provide you with a virtual credit card to aid your use of its application.
5.5. You undertake to act in good faith at all times in relation to all dealings with Application and Savewyze and in accordance with any codes for compliance with sanctions or prevention or detection of money laundering, terrorist financing or other unlawful activities.
5.6. You undertake to stay within the prescribed Credit Limit assigned by Savewyze for loans and further undertake to effect no purchases or transactions which may be higher than the approved limit as such transactions shall not be approved by Savewyze. In a situation whereby the you exceeds the set limit, the excess amount shall be payable immediately by you and shall not enjoy the repayment period for normal credit limits.
5.7. Notwithstanding that you have not exhausted your loan/credit limit, Savewyze shall be entitled to, at any time and without notice and without giving any reason and without liability towards Savewyze, withdraw and restrict your right to use or to refuse to authorize any of your transactions.
5.8. Where applicable, Savewyze reserves the right not to allow International Transactions up to full limit assigned by the Central Bank of Nigeria (CBN) so that the limits are not exceeded in the event of exchange rate fluctuations or any unauthorized transactions.
5.9. All transactions effected on Safewyze appliction in a currency other than Naira will be converted from the transaction currency into Naira at a rate selected by Savewyze or its Partners, and may be subject to further charges as determined by Savewyze.
6. Cash Advance/Loan Services.
6.1 You may obtain Cash loan Advances subject to a maximum Credit Limit determined by variables such as your earning capacity, timeliness of repayment of previous loans advanced, credibility, and other such variables deemed fit by Savewyze at its absolute discretion.
6.2 You will be responsible to generate a PIN and password, to be used in conjunction when effecting a transaction on the Savewyze Application. You may under no circumstances whatsoever disclose the PIN to any other person.
6.3 Savewyze and its Partner bank’s record of any transaction effected with the use of your Pin or Password shall be binding on you as to its consequence. The use of Application by you to obtain a Cash Advance shall be deemed to constitute your Agreement to pay a cash advance fee and finance charge as determined by Savewyze from time to time on the amount of cash advance.
a) Savewyze shall at all times display the list of charges, interests, rates, and fees on the use of its services and shall promptly inform you where there is a modification, change, additional or new charges on the use of its services.
b) Your use of the Application shall be deemed an agreement to pay such charges, interests, rates, and fees upon the request of Savewyze.
c) The due date for the repayment of a Loan or cash advance shall be communicated to you on the first date such loan is advanced, reminders may be sent to you within the period, and you covenant torefund the cash advance with all interest due on or before the due date.
d) You shall always repay only the amount due and interest on the cash advance in full. If the Amount Due is not paid by the Payment Due Date or only partly paid, then the unpaid amount will be treated as a debt to Savewyze and it shall seek all legal means to recover such.
e) The non-repayment, partial payment or default of the Amount due for a period shall render you ineligible to apply for future cash advance, until the outstanding debts plus interests are fully settled.
f) If you fail to pay the amount due by the payment due date, a flat late payment charge (at a rate that is already communicated prior) per day will be levied for each day of the continuing default, until the amount due inclusive of all interests or charge is fully paid.
g) Savewyze shall be entitled at its sole discretion to vary the rate or method of calculation of the annual fees, finance charges, the specified Minimum Amount Due and/or late payment charges or any other charges.
h) Savewyze shall make available records of transaction and history which will be accessible to the you at all times on its Application or web version, and Savewyze may also send a monthly statement of account to your registered email address.
i) Such statements may be in paper, electronic or any other form Savewyze may choose. However, Savewyzemay not issue statements where it is not required by law to do so or where Savewyze’s policy, security procedure or requirement of any authority (including any economic and trade sanctions imposed by any regulator in any jurisdictions where the Savewyze operates in or by any supranational organization, official body, government policies) prohibits Savewyze from doing so.
j) You may use the following channels to log complains/disputes with Savewyze: our office centres, client centre, App/WebApp, email. You understand that Savewyze may require time to complete the investigation and the period of time taken for the investigation will depend on the complexity of the complaint/dispute raised with Savewyze. All entries in the Statement of Account or transaction history shall be presumed correct unless you dispute such entries within 30 days from the Statement of Account/transaction history and proves such entry to be incorrect. If the disputed statement turns out to be genuine or true, you shall pay the amount set out in the relevant statement together with any fees incurred bySavewyze in the investigation of such disputed statement.
k) Without prejudice to the foregoing, you shall immediately report to Savewyze if it suspects any fraudulent, illegal or suspicious activity with regard to the
l) Savewyze shall, upon receipt of such report, be entitled to temporarily suspend the usage of the account until further notification by you.
m) Savewyze or any of its Partners shall use your information to (a) send SMS, email, call/visit clients at registered telephone/mobile numbers and office/home address in case of default payments.
n) Calls and visits will be made within office hours or according to customers’ convenient time. Recovery letters will be issued to the email address and your physical address(s) last updated by you to Savewyze whether.
7. Duty to Protect Pin, Passwords, and Zero Liability
7.1 You shall be fully liable for all transactions made on the Application with your account, Pin, and/or passwords whether with or without your knowledge.
7.2 You shall use all reasonable precautions to protect and secure the Pin, passwords and usage of your account and shall not disclose them to any party.
7.3 You also have the right to freeze your account on the Savewyze platform, and Savewyze shall upon receiving such instruction from the you suspend activities future activities on the account, save for the recovery and repayment of outstanding amounts owed by you where applicable.
7.4 You shall be and remain fully liable to make payment to Savewyze for any transaction arising from your account, goods or services supplied by merchants, Cash Advances and all such transactions affected through the use of your account by any person whether with or without your knowledge and irrespective of whether they were authorized by you or not.
8. WARRANTY DISCLAIMER
8.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAWS AND EXCEPT AS OTHERWISE EXPRESSLY PROVIDED IN THESE TERMS, YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICES AND ALL INFORMATION, PRODUCTS, AND OTHER CONTENT (INCLUDING THAT OF THIRD PARTIES) INCLUDED IN OR ACCESSIBLE FROM THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR THIRD-PARTY SERVICE PROVIDERS EXPRESSLY DISCLAIM ANY AND ALL CONDITIONS, REPRESENTATIONS, AND WARRANTIES OF ANY KIND AS TO THE SERVICES AND ALL INFORMATION, PRODUCTS, AND OTHER CONTENT (INCLUDING THAT OF THIRD PARTIES) INCLUDED IN OR ACCESSIBLE FROM THE SERVICES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.2 SAVEWYZE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, RELATING TO SAVEWYZE’S WEBSITE, CONTENT AND/OR USER INFORMATION, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF PROPRIETARY RIGHTS, COURSE OF DEALING OR COURSE OF PERFORMANCE.
8.3 WITHOUT LIMITING THE FOREGOING, WE AND OUR THIRD-PARTY SERVICE PROVIDERS MAKE NO WARRANTY REGARDING THE PERFORMANCE OF OR ACCURACY, QUALITY, CURRENCY, COMPLETENESS OR USEFULNESS OF ANY INFORMATION PROVIDED BY SAVEWYZE ON ITS WEBSITE INCLUDING BUT NOT LIMITED TO INFORMATION OBTAINED THROUGH SOCIAL MEDIA. SPECIFICALLY, SAVEWYZE MAKES NO WARANTY THAT (A) THE SERVICES WILL MEET YOUR REQUIREMENTS, (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS, OR (E) ANY ERRORS IN THE SERVICES WILL BE CORRECTED. NO ORAL OR WRITTEN INFORMATION OR ADVICE OBTAINED BY YOU FROM US OR OUR THIRD-PARTY SERVICE PROVIDERS THROUGH OR FROM THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
9. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT SAVEWYZE, ITS AFFILIATES AND THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS, AGENTS, AND THIRD-PARTY SERVICE PROVIDERS WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR (A) THE PERFORMANCE OF THE SERVICES OR THE INABILITY TO USE THE SERVICES; (B) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF SUCH PERSONS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHICH ARISE OUT OF OR ARE IN ANY WAY CONNECTED WITH THESE TERMS, OR THE SERVICES; (C) ANY AMOUNT, IN THE AGGREGATE, IN EXCESS OF FIFTY PERCENT OF YOUR DEPOSITS OR 500,000 NGN (FIVE HUNDRED THOUSAND NAIRA) WHICHEVER IS LESSER; OR (D) ANY EVENT BEYOND OUR REASONABLE CONTROL.
10. THIRD PARTY WEBSITES
11.1 You agree to indemnify Savewyze and its officers, directors, employees , sublicensees,
agents, affiliates, successors and assigns from and against any and all claims, damages, liabilities, losses, settlements, costs and expenses (including, without limitation lawyers’ fees and court costs) which arise out of or relate to your use of the Software, Website and/or Services, including but is not limited to:
a) any misuse of the Software or Services by you, including and without limitation, any dishonest, inaccurate, incomplete, fraudulent, negligent, wrongful, unlawful, or criminal act or omission by you;
b) any act or omission (including negligent acts or omissions) of the user in the performance or purported performance of any Services and your breach of the Terms;
c) the use of any intellectual property created in respect of the Services not contemplated by the Terms or as a consequence of a breach of the Terms; or any activity which you engage on or through Savewyze.
This indemnity will survive termination of the Terms.
12. ANTI-MONEY LAUNDERING, COUNTER TERRORISM FINANCING, SANCTIONS OR EMBARGOES
12.1 To comply with local or foreign law, regulations, voluntary codes, directives, judgments or court orders, agreements between Savewyze and its Partners, and any authority, regulator, or enforcement agency, policies (including Savewyze’s policies), good practice, government sanctions or embargoes, reporting requirements under financial transactions legislation and demands or requests of any authority, regulator,tribunal, enforcement agency, exchange body, Savewyze may:
a) be prohibited from allowing or concluding transactions involving certain persons or entities (e.g. person or entity that is itself sanctioned or is connected to or dealing with (directly or indirectly) any person or entity that is sanctioned under economic and trade sanctions imposed by any regulator in any jurisdiction or
b) Subject to the provisions of this Terms report suspicious transactions or potential breaches of sanctions to the Economic Financial Crimes Commission (EFFC) or decide to disclose transactions impacted;
c) involve the provision of finance to any person involved or suspected of involvement in terrorism or any terrorist act;
d) be relevant to the investigation of an actual or attempted evasion of tax law, investigation or prosecution of a person for an offence against any applicable law; or
e) involve persons or entities which may be the subject of sanctions and embargoes.
12.2 Savewyze or its Partners may intercept and investigate any transaction and other information or communications sent to or You or on your behalf and may delay, block or refuse to allow any transaction on its platform.
12.3 Savewyzeor its Partners may take any action it believes to be necessary to comply, or in connection with the matters set out in this clause. This includes suspending your account, preventing operation of an account, freezing of an account otherwise not allowing the you access, delaying or cancelling a transaction. Savewyze need not notify you until a reasonable time after it is permitted to do so under those laws or policies. Savewyze is not liable for any loss arising out of any action taken or any delay or failure by Savewyze, or its Partners, in exercising any of its rights or performing its obligations, caused in whole or in part by any steps taken as set out above.
13.1 Savewyze shall treat as secret and confidential and not at any time or for any reason during or after the expiry or termination of this Agreement disclose or permit to be disclosed to any person, or to otherwise make use of or permit use to be made of any Information whether such confidential information was received during the term of this Agreement or otherwise.
13.2 Whilst Savewyze maintains strict confidentiality in all matters relating to your account(s) and business, you hereby authorise and consent to Savewyze and its Partners, including its officers, employees, agents and advisers to disclose your information to the following parties for any of the following purposes and as where necessary;
a) any member of Savewyze and its Partners, including any officer, employee, agent or director; professional advisers (including auditors), third party service providers, agents or independent contractors providing services to support Savewyze;
b) Banks or business alliance partners who may provide their product or service to you
c) any person to whom disclosure is allowed or required by local or foreign law, regulation or any other applicable instrument;
d) any court, tribunal, regulator, enforcement agency, exchange body, tax authority, or any other authority (including any authority investigating an offence) or their agents with jurisdiction over Savewyze or its Partners
e) any debt collection agency, credit bureau or credit reference agency, rating agency correspondents, insurer or insurance broker, direct or indirect provider of credit protection and fraud prevention agencies;
f) any financial institution which you have or may have dealings with to conduct credit checks, anti-money laundering related checks, fraud prevention and detection of crime purposes;
g) a merchant or a member of a card association where the disclosure is in connection with the use of Savewyze account
h) upon a user’s death or mental incapacity, your legal representative and their legal advisers, and a member of the user’s mmediate family for the purpose of allowing him/her to make payment on any of the account(s);
i) any authorised person or any security provider;
j) anyone Savewyze considers necessary in order to provide you with services in connection with a product;
k) any Bank or financial institution with which have or propose to have dealings, regardless of whether the recipient in each case is located in Nigeria or in any other country and regardless of whether such information will, following disclosure, be held, processed, used or disclosed by such recipient in Nigeria or another country; located in any jurisdiction.
13.3 Savewyze shall comply with the Data protection laws as outlined in Nigerian Data Protection Regulation 2019, and shall take all reasonable measures to comply with global standard and best practices on Data protection and policies.
14. ENTIRE AGREEMENT
15.1 Savewyze may add to or amend these Terms at any time, at our sole discretion, without providing notice to you. We reserve the right, subject to applicable law, to deliver to you any notice of changes to these Terms or the addition of new terms by posting an updated version of these Terms on the Website or delivering notice thereof to you electronically.
15.2 You are free to decide whether or not to accept a revised version of these Terms, but accepting these Terms, as revised, is required for you to continue accessing or using the Services. If you do not agree to these Terms or any revised version of these Terms, your sole recourse is to terminate your access or use of the Services. Except as otherwise expressly stated by us, your access and use of the Services are subject to, and constitute your acceptance of, the version of these Terms in effect at the time of your access or use.
15.3 We encourage you to check these Terms from time to time in order for you to be abreast with any modifications thereto.
16. GOVERNING LAW
These Terms and provision of the Services shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
17. DISPUTE RESOLUTION
Any dispute relating to or arising out of these Terms and/or the use of the Services shall be resolved amicably by mutual consultation. Where we and you are unable to resolve any dispute amicably within 21 (twenty-one) days of the commencement of such mutual consultation, the dispute shall be submitted to and determined by any court of competent jurisdiction in Nigeria.
19. GENRAL TERMS
19.1 You may not transfer, assign, or delegate these Terms or your rights or obligations hereunder or your Savewyze Account in any way (by operation of law or otherwise) without our prior written consent. To the extent permitted by applicable law, Savewyze may transfer, assign, or delegate these Terms and our rights and obligations hereunder without your consent.
19.2 The failure of either Party to exercise, in any way, any right herein will not be deemed a waiver of any further rights hereunder.
19.3 In the event that any of the provisions of these Terms is held by a court of competent jurisdiction to be unlawful or unenforceable, the remaining portions of these Terms shall remain in full force and effect and shall not be invalidated or impaired in any manner.
19.4 Savewyze shall be entitled to appoint an agent to recover all sums due to it from you under this Agreement.
19.5 Savewyze shall be entitled at any time without your consent to assign and transfer the whole or any part of its rights or obligations under this Agreement. You undertake to sign such further document as may be requested by Savewyze from time to time to give effect to such assignment and transfer.
19.6 The rights and remedies herein provided are cumulative and not exclusive of any rights or remedies provided by law.
19.7 The Terms and Conditions herein are binding upon you and you shall not assign or transfer of his obligations herein to anyone else without prior consent of Savewyze in writing. Any such assignment and transfer without prior consent of Savewyze shall be void ab initio and Savewyze is under no obligation to recognize such assignment and transfer.
19.8 Each of these Terms and Conditions are severable and distinct from one another and if any time any one or more of such Terms and Conditions becomes invalid, illegal or unenforceable, the validity, legality of the enforceability of the remaining provisions shall not in any way be affected or impaired thereby.
